Terms applying to the provision of services by WMAS ENGINEERING LTD.
These Terms and Conditions apply to the provision of services by WMAS ENGINEERING LTD. By instructing or engaging WMAS ENGINEERING LTD., the client agrees to these terms unless otherwise agreed in writing
WMAS ENGINEERING LTD. provides engineering design, CAD modelling, drawing production, technical support and related consultancy services. Services are delivered based on the information, dimensions, specifications and requirements provided by the client
The client remains responsible for reviewing and approving all drawings, models, calculations, layouts and related output before manufacture, installation or use
The client is also responsible for ensuring that any manufactured or installed item complies with all applicable laws, standards, site requirements, health and safety obligations and project specific conditions
All drawings, models, layouts, documents and related design materials produced by WMAS ENGINEERING LTD. remain the intellectual property of WMAS ENGINEERING LTD. unless otherwise agreed in writing
Subject to payment in full, the client is granted a non exclusive licence to use the delivered materials for the specific project or purpose for which they were prepared
WMAS ENGINEERING LTD. is entitled to rely on the accuracy and completeness of information supplied by the client or third parties acting on the client’s behalf. Any errors, delays or additional work arising from incomplete or incorrect information may affect programme, scope and cost
Fees shall be as agreed in writing, whether by quotation, estimate, email confirmation or other written instruction
Unless otherwise agreed, invoices are payable within 10 working days of issue
WMAS ENGINEERING LTD. reserves the right to suspend work, withhold deliverables or decline further services where invoices remain unpaid beyond agreed terms
Any change to the agreed scope of work may require a revised fee, revised timescale or both. WMAS ENGINEERING LTD. will notify the client where additional work falls outside the original instruction
WMAS ENGINEERING LTD. shall not be liable for any indirect, consequential or economic loss, including loss of profit, production delay, loss of opportunity or reputational loss
To the fullest extent permitted by law, total liability arising from any instruction or service shall be limited to the amount paid by the client for the specific service giving rise to the claim
Responsibility for manufacture, fabrication, procurement, installation, site integration and final application rests with the client and their appointed contractors. All output must be checked and verified before use in production or on site
Either party may terminate an instruction in writing. The client shall pay for all work completed up to the date of termination, including any committed time, issued deliverables and reasonable close out work
These Terms and Conditions shall be governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales
